1. Agreement to Terms

By accessing or using CartSync ("the App", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the App.

2. Description of Service

CartSync is a Shopify application that syncs abandoned checkouts, product views, and cart activity to Klaviyo for email marketing automation. The App tracks customer behavior on your Shopify store and syncs this data to your Klaviyo account.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. You must have a valid Shopify store and Klaviyo account to use the App.

4. Account Registration

To use the App, you must:

Have an active Shopify store
Have a valid Klaviyo account with API access
Provide accurate and complete information during registration
Maintain the security of your account credentials

5. Subscription and Billing

5.1 Subscription Plans

CartSync offers subscription plans based on monthly traffic (sessions):

Free Trial: 14-day free trial period
Starter Plan: Up to 75,000 monthly sessions
Growth Plan: Up to 300,000 monthly sessions
Pro Plan: Unlimited monthly sessions

5.2 Billing

Subscriptions are billed monthly through Shopify's billing system
Charges are processed automatically at the beginning of each billing cycle
All fees are in USD unless otherwise stated
Prices are subject to change with 30 days' notice

5.3 Traffic Measurement

Monthly traffic is measured as:

Estimated sessions based on unique visitors to your store
Calculated from customer activity and events tracked by the App
Updated periodically throughout the month

5.4 Usage Limits

If you exceed your plan's traffic threshold:

You will be notified to upgrade your plan
The App may stop processing new events until you upgrade
Historical data will remain accessible

5.5 Cancellation

You may cancel your subscription at any time through your Shopify admin. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

6. Free Trial

New users receive a 14-day free trial. During the trial:

All features are available
No credit card required
Trial automatically converts to paid plan unless cancelled
You will be notified before the trial ends

7. Data and Privacy

7.1 Data Collection

The App collects and processes:

Customer email addresses
Product view data
Cart and checkout information
Store configuration data

7.2 Data Usage

We use your data solely to:

Provide the App's functionality
Sync data to your Klaviyo account
Improve the App's performance
Comply with legal obligations

7.3 Data Sharing

Your data is shared only with:

Your Klaviyo account (as configured by you)
Service providers necessary to operate the App
As required by law

7.4 Data Deletion

Upon app uninstallation, we will:

Delete all stored data within 30 days
Remove all webhook subscriptions
Clear all API connections

8. Your Responsibilities

You agree to:

Use the App only for lawful purposes
Not attempt to reverse engineer or hack the App
Not use the App to violate any laws or regulations
Maintain the security of your API keys and credentials
Comply with Shopify's and Klaviyo's terms of service
Ensure you have proper consent to collect customer data

9. Intellectual Property

The App and all its content, features, and functionality are owned by CartSync and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the App without our written permission.

10. Third-Party Services

The App integrates with:

Shopify: For store data and webhooks
Klaviyo: For email marketing automation

You are responsible for:

Complying with Shopify's terms of service
Complying with Klaviyo's terms of service
Maintaining valid accounts with both services
Any fees charged by third-party services

11. Availability and Uptime

We strive to maintain 99.9% uptime but do not guarantee:

Uninterrupted or error-free service
That the App will meet your specific requirements
That defects will be corrected

The App may be temporarily unavailable due to:

Maintenance or updates
Technical issues
Third-party service outages
Force majeure events

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARTSYNC SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or business opportunities
Service interruptions or downtime
Errors or omissions in data syncing
Third-party service failures

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold CartSync harmless from any claims, damages, losses, or expenses arising from:

Your use of the App
Your violation of these Terms
Your violation of any third-party rights
Your violation of any laws or regulations

14. Termination

We may terminate or suspend your access to the App immediately, without prior notice, if you:

Violate these Terms
Fail to pay subscription fees
Engage in fraudulent or illegal activity
Misuse the App or our services

Upon termination:

Your access to the App will be revoked
Your data will be deleted per our Privacy Policy
You will not be entitled to any refunds

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via:

Email to your registered address
In-app notification
Update to this page

Continued use of the App after changes constitutes acceptance of the new Terms.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

16.2 Dispute Process

Any disputes shall be resolved through:

Good faith negotiation
Mediation (if negotiation fails)
Binding arbitration (if mediation fails)

You waive any right to participate in a class-action lawsuit.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CartSync regarding the App.
